Welcome to VendManage (https://vendmanage.com). These Terms of Service govern your access to and use of the VendManage website and software-as-a-service (SaaS) application. By registering an account or using our platform, you agree to comply with and be bound by these Terms.

If you do not agree to these Terms, you may not use our services.

1. Description of Service

VendManage is a SaaS platform designed to streamline vending machine business operations. The specific features available to you depend on your user role:

Operators: Access management tools to manage routes, track sales, plan restocks, and manage product inventory.
Owners (Location Hosts): Access a dedicated portal to view the sales of hosted machines, monitor commissions, and report issues directly to operators.
Restockers: Access tools to view assigned inventory tasks and fulfill restock orders.

2. User Accounts and Security

To use VendManage as an operator, you must create an account by providing an email and a secure password. For owners and restockers, login credentials are provided by the operator.

You are responsible for safeguarding your login credentials.
You must immediately notify us of any unauthorized use of your account.
You are responsible for all activities, data entries, and business transactions that occur under your account.

3. Subscription Tiers, Trials, and Refund Policy

VendManage is offered through multiple service tiers:

Free Tier: Provides basic features with limited capacities or access metrics.
Paid Tiers: Unlocks advanced analytical tracking, automated route planning, or expanded inventory tools under a recurring subscription fee.
Free Trials: We may occasionally offer free trials for our paid tiers. Once the trial period ends, you will be required to select a payment plan to continue using those specific advanced features.
Refund Policy: Subscriptions are automatically billed on a recurring cycle and fees are generally non-refundable. However, we review refund requests on a case-by-case basis. To request a refund, you must contact us via email at [email protected]. If approved, your refund will be processed according to our internal determination.

4. User-Generated Content

You may upload content to VendManage, including text, information, data, images, and company logos ("User Content").

Ownership & Responsibility: You retain full ownership of your User Content. You are solely responsible for ensuring that any text, images, or logos you upload do not violate the intellectual property rights, trademarks, or copyrights of any third party.
License Grant: By uploading User Content, you grant VendManage a non-exclusive, worldwide, royalty-free license to host, display, and process your logos and business metrics strictly for the purpose of operating the application and providing services to you and your designated business partners (e.g., displaying your logo and sales reports to your location owners).
Removal of Content: We reserve the right to remove any User Content that we deem inappropriate, offensive, or in violation of third-party copyright laws.

5. Accuracy of Sales Analytics Disclaimer

VendManage provides sales tracking, inventory metrics, and financial reporting tools as a convenience to help run your business. While we aim for high reliability, we do not guarantee the absolute accuracy, completeness, or timeliness of any automated sales data or analytical reports.

External factors, including vending machine hardware telemetry issues, network connectivity drops, or incorrect manual entry by your operators and restockers, can impact data accuracy. You acknowledge that you should verify critical financial information independently and that VendManage is not responsible for business decisions, financial losses, or inaccurate commission payouts made based on our software's analytics.

6. Limitation of Liability

VendManage is provided on an "as-is" and "as-available" basis. While we strive for constant uptime and accurate business reporting, we do not guarantee that the software will be error-free or uninterrupted. We are not liable for any business disruptions, loss of data, missed restocks, or lost revenue resulting from the use of our service.

7. Governing Law and Dispute Resolution

These Terms of Service and your relationship with VendManage shall be governed by, and construed in accordance with, the laws of the State of Alabama, without regard to its conflict of law principles.

You agree that any legal action, suit, or proceeding arising out of or relating to these Terms or your use of our SaaS platform must be brought exclusively in the state or federal courts located in Alabama, and you hereby consent to the personal jurisdiction of such courts.

8. Termination

We reserve the right to suspend or terminate your account at our discretion if you violate these terms, non-payment occurs on a paid tier, or if your usage presents a security threat to our systems.
